Terms of Service

These Terms of Service (the “Terms”) govern your use of SpokenHighly (the “Service”), operated by FluxThread Labs Inc., a Delaware corporation(“we”, “us”), from Miami, FL. By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of an agency or company, you represent that you have authority to bind it.
1. What the Service does
SpokenHighlycollects your clients’ public Google reviews into a single workspace, drafts reply text with AI in each client’s configured voice, and generates white-labeled monthly reputation reports. Reply drafts are suggestions for you to review. You choose what to publish and where. We do not post to Google on your behalf.
2. Your account
- You must provide accurate information and keep your credentials secure. You are responsible for everything done under your account.
- You must be at least 18 and able to form a binding contract. The Service is built for businesses, not consumers.
- You are responsible for having the right to manage the business profiles, reviews, logos, and brand assets you add to the Service on behalf of your clients.
3. Plans, billing, and cancellation
- Free plan. One client profile, no card required. We may change or discontinue the free plan at any time.
- Paid plans. Subscriptions are billed in advance through Stripe on a monthly or annual cycle and renew automatically until cancelled. Prices are in US dollars and exclude any taxes you may owe.
- Cancellation. You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current paid period; you keep access until then. We do not prorate partial periods.
- Refunds. Subscription fees are non-refundable except where required by law or where we agree otherwise in writing. If something has clearly gone wrong on our side, email alex@spokenhighly.com — we would rather fix it than argue about it.
- Founding Lifetime. A one-time payment grants access for the operational lifetime of the Service, not in perpetuity. If we discontinue SpokenHighly entirely, lifetime access ends with it. Lifetime access covers the Founding Agency feature set and is non-transferable.
- Price changes.We may change pricing for new billing periods with at least 30 days’ notice by email. Founding pricing, once purchased, is honored for as long as your subscription stays active without interruption.
4. Acceptable use
You agree not to use the Service to:
- Write, solicit, or publish fake, incentivized, or deceptive reviews, or otherwise violate Google’s or any other platform’s review policies.
- Send unsolicited bulk email, or use the review-request features to contact people who have not done business with your client.
- Impersonate anyone, upload unlawful or infringing content, or publish replies you know to be false.
- Scrape, resell, reverse engineer, or attempt to circumvent the limits of the Service, or use it to build a competing product.
Review platforms have their own rules about who may respond to reviews and how. Complying with those rules is your responsibility. We may suspend or terminate accounts that abuse the Service, with notice where practical.
5. AI-generated content
Reply drafts and report summaries are produced by a large language model from the review text and the facts you supply. AI output can be wrong, can misread tone, and can state things that are not true about your client’s business. You are responsible for reading every draft before you publish it. We make no warranty that AI output is accurate, appropriate, or compliant with any platform’s policies, and we are not liable for content you choose to publish.
As between you and us, you own the drafts generated for your account and may use them freely. Because language models can produce similar output for similar inputs, we cannot guarantee that generated text is unique.
6. Your data and your clients’ data
You keep all rights to the client information, logos, brand assets, and notes you put into the Service. You grant us a limited license to host, process, and display that content solely to operate the Service for you — including sending review text to our AI provider to generate drafts, and rendering the white-labeled reports you share. Our handling of personal data is described in our Privacy Policy.
Report links are unguessable but public: anyone with the link can view the report. Do not put anything in a report you would not want a recipient to forward.
7. Third-party services
The Service depends on third parties including Google (review data), Stripe (payments), Supabase (database and authentication), Anthropic (AI drafting), Resend (email), and Vercel (hosting). Their availability, rate limits, and policy changes are outside our control, and outages or API changes at those providers may degrade or interrupt the Service.
8. Our intellectual property
The Service, its software, design, and the SpokenHighly name and marks are ours. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing — nothing more. You may present reports to your clients under your own branding; that white-label right does not transfer ownership of the underlying software.
9. Availability and beta features
We aim for high availability but do not offer a service-level agreement. We may change, add, or remove features. Features labeled beta or early-access may be unstable and may be withdrawn.
10. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that review data will be complete or current, or that using the Service will improve any business’s ratings, rankings, or revenue.
11. Limitation of liability
To the maximum extent permitted by law, neither FluxThread Labs Inc. nor its officers is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or lost goodwill — including anything arising from content you published, from an action a review platform took against you or your client, or from third-party outages. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars, whichever is greater.
12. Indemnity
You will defend and indemnify us against claims arising from your use of the Service, the content you publish, your clients’ data, or your breach of these Terms.
13. Termination
You may close your account at any time. We may suspend or terminate access for breach of these Terms, non-payment, or activity that puts the Service or other customers at risk. On termination, your right to use the Service ends; you may export your data for 30 days after termination, after which we may delete it.
14. Changes to these Terms
We may update these Terms. For material changes we will give notice by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. The state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction over any dispute, and both parties consent to venue there.
